Terms of Service

Hudo.AI is a product of HUDO AI LLC, a Florida limited liability company with its address at 1000 Brickell Ave, Suite 715, Miami, FL 33131, United States. References to "Hudo", "Hudo.AI", "we" or "us" in this document mean that company.

1. Acceptance of Terms

By accessing or using Hudo.AI ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, you may not access the Service.

2. Description of Service

Hudo.AI is an AI marketing platform. It learns about your business, proposes and creates marketing content such as ads, posts and short videos, publishes the content you approve to your connected social accounts, and learns from the results.

3. User Accounts

3.1 Registration

To use certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for safeguarding your account credentials and for any activities or actions under your account. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

5. Intellectual Property

5.1 Our Content

The Service and its original content, features, and functionality are owned by Hudo.AI and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

5.2 Your Content and Your Brain

You retain ownership of any content you submit, post, or display on or through the Service. Your Brain (brand, offers, insights and learnings) and your content belong to you. We use them to provide the Service to your account. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and distribute such content in connection with providing the Service.

6. Subscriptions and Billing

Paid plans, renewals, cancellations, AI credit and refunds are governed by our Billing, Cancellation and Refund Policy, which is part of these Terms.

7. AI-Generated Content

Hudo uses artificial intelligence to propose and create marketing content. AI output may be inaccurate, incomplete or similar to content created for others. You are responsible for reviewing content before it is published and for the claims, offers and prices it contains. Hudo publishes only content you approve, or content you have authorized it to publish automatically. See also our AI Content and Social Publishing Terms.

8. Connected Social Accounts and Third-Party Services

When you connect social accounts (such as Instagram, Facebook, TikTok, YouTube or LinkedIn), you authorize Hudo to publish the content you approve and to read its performance metrics, through the official APIs of each platform and our publishing providers. You must comply with each platform's terms and policies, including rules on advertising and on labeling AI-generated content. Hudo is not responsible for actions a platform takes on your account.

9. Agencies and Client Accounts

If you use Hudo as an agency, you are responsible for having your clients' authorization to manage their brands, content and social accounts, and for your users' activity. Each client account's data is kept separate, and one account never sees another account's data.

10. Improving Hudo's Models

To make Hudo better for everyone, we may use content you create in Hudo, your Brain and performance results in de-identified and aggregated form to train and improve Hudo's own models. Examples: which hooks, formats and styles perform best by industry. We remove personal data and identifying details first, never publish or show your data to other customers, and never sell it. You can opt out at any time in Settings or by emailing privacy@hudo.ai; opting out does not affect the Service. Data received from connected social platforms and from Google services is used only as each platform's terms allow, and is not used to train AI models where those terms prohibit it.

11. Beta Features

Some features may be labeled beta. They may change or have errors, and we may modify or discontinue them.

12. Termination

You can cancel at any time as described in the Billing Policy. We may suspend or terminate accounts that breach these Terms or put the Service or third parties at risk. If we terminate your account without cause, we will refund the unused part of your prepaid period.

13. Disclaimer

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. Hudo.AI makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property.

14. Limitation of Liability

In no event shall Hudo.AI, its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Service. Our total liability for any claim related to the Service will not exceed the amounts you paid us in the 12 months before the claim.

15. Governing Law

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict of law rules. Courts located in Miami-Dade County, Florida, have exclusive jurisdiction, except where the law of your place of residence requires otherwise.

16. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.
